Asher J. Friend, a partner, and Theodore W. Jones, special counsel, both in the firm's Corporate & Securities Practice Group in the New Orleans and Baton Rouge offices, spoke at the 7th Annual Hedge Fund General Counsel Summit, held in New York City on September 30-October 1, 2013. Mr. Friend and Mr. Jones presented, "A Whole New World - SEC (Finally) Adopts Final Rules under the JOBS ACT" and "Removing Restrictions on General Solicitation and Advertising - But Wait...What Now?". The sessions discussed the implications of the new rules, as well as questions remaining: reasonable steps funds must take to verify purchasers are accredited investors; disqualification of "bad actors;" Form D and additional proposed filing requirements; and what impact do these rules have on funds falling under CFTC jurisdiction.
