Madison Gaines is an associate in the Corporate Practice Group, where she advises clients on corporate, tax, and employee benefits matters.
Madison represents publicly traded and privately held entities in the full spectrum of corporate and commercial matters. She has counseled clients at various stages in the business life cycle, from drafting and submitting corporate registration and formation documents to negotiating contracts and other agreements. Madison also researches and prepares securities-related filings, reports, and statements; conducts due diligence in the context of mergers, acquisitions, sales, divestitures, and joint ventures; and advises on business restructurings and reorganizations.
Madison has experience at the intersection of tax, employee benefits, and labor and employment law. She has drawn on her combined knowledge to advise employers and business owners on issues such as the treatment of medical and other benefits under the Mental Health Parity and Addiction Equity Act and similar federal and state laws; pension-plan disputes; tax filings and reporting; state labor and employment mandates; New Market Tax Credits and other federal, state, and local economic development incentives; and employee terminations and C-suite severance plans.
While earning her law degree, Madison served as editor-in-chief of the LSU Journal of Energy Law and Resources, for which she is also a published author. Madison served as a judicial extern for the Honorable Chief Judge Shelly D. Dick of the US District Court for the Middle District of Louisiana. She was also a member of the Student Bar Association Academics Committee and served as an academic tutor for criminal law and criminal procedure.
