Paul Woodall is a partner in the Corporate Practice Group. He provides broad-ranging counsel to business entities in the areas of general corporate representation, commercial transactions, and real estate.
Paul has extensive experience in a variety of areas of business and transactional practice, including mergers and acquisitions, choice of entity, economic development incentives, product distribution, real estate, commercial lending, and trademarks.
Paul routinely handles the preparation and negotiation of real estate purchase and sale agreements, commercial leases (for landlords and tenants), commercial real estate closings, opinion letters, and structuring economic development incentives.
Paul has assisted a number of manufacturers in all phases of taking their products to market, including establishing distribution systems, handling dealer terminations, and developing product warranties. He also routinely prepares and negotiates agreements in connection with distributorships, inventory consignments, warehousing, supply arrangements, sales agency arrangements, franchising, and toll manufacturing.
In addition, Paul has extensive experience in the many possible uses of limited liability companies and has spoken at a number of seminars on the topic of limited liability companies. He has prepared and negotiated a wide variety of operating agreements with respect to multiple-member limited liability companies.
Paul also regularly assists clients with trademark protection, including trademark applications, trademark licensing, as well as prosecuting and defending trademark oppositions.
Finally, Paul handles a range of transactional matters in the aviation sector, including representing banks in making aircraft loans, preparing aircraft dry leases and owner cost-sharing agreements, and handling aircraft acquisitions.
